Terms of Service

These Terms of Service ("Terms") govern your access to and use of ShopBeat ("App", "Service"), a Shopify application operated by ShopBeat ("we", "us", or "our"). By installing or using ShopBeat, you ("Merchant", "you") agree to these Terms and our Privacy Policy.

1. Description of service

ShopBeat provides an internal team feed inside your Shopify admin. Authorized staff can create posts, attach store assets, tag teammates on images, comment, like, repost, and receive notifications. The Service is available only to users with access to your Shopify admin.

2. Eligibility

You must be a Shopify merchant with a valid Shopify account and the authority to bind your business to these Terms. You are responsible for ensuring that only authorized staff access ShopBeat through your Shopify admin.

3. Account and installation

ShopBeat is installed through the Shopify App Store or your Shopify admin. You grant us permission to access your Shopify store data as described in our Privacy Policy and as required by the API scopes you approve at installation.

4. Subscription and billing

ShopBeat offers paid subscription plans billed through Shopify's Billing API. By subscribing, you authorize Shopify to charge your account according to the plan you select. Fees are non-refundable except as required by applicable law or Shopify's policies.

You may cancel at any time by uninstalling the App from your Shopify admin. Cancellation stops future charges but does not entitle you to a refund for the current billing period.

5. Acceptable use

You agree not to:

• Use ShopBeat for any unlawful purpose or in violation of Shopify's terms or policies
• Upload or post content that is defamatory, harassing, infringing, or otherwise objectionable
• Attempt to gain unauthorized access to the Service, other merchants' data, or Shopify systems
• Reverse engineer, decompile, or attempt to extract the source code of the App
• Resell, sublicense, or redistribute the Service without our written consent
• Use the Service to send spam or unsolicited communications

6. Your content

You retain ownership of content your staff creates in ShopBeat (posts, comments, captions). You grant us a limited license to store, display, and process that content solely to provide the Service. You are responsible for the content posted by your staff and for ensuring you have the right to share any store assets you attach to posts.

7. Intellectual property

ShopBeat, including its name, logo, design, and software, is owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as needed to use the App.

8. Third-party services

ShopBeat integrates with Shopify and is subject to Shopify's terms, policies, and platform availability. We are not responsible for Shopify's services, downtime, or policy changes.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.

12. Termination

You may stop using ShopBeat at any time by uninstalling the App. We may suspend or terminate your access if you violate these Terms or if required by Shopify. Upon termination, your right to use the Service ends and your shop data will be deleted in accordance with our Privacy Policy.

13. Changes to these Terms

We may modify these Terms at any time. We will post updated Terms on this page with a revised "Last updated" date. Material changes may also be communicated through the App or by email. Continued use after changes constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts located in Delaware, except where prohibited by applicable law.
